Introduction

Welcome to Dhrubok IT Solution ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, products, and services (collectively, "Services").

Important: These terms apply to all users, including SaaS subscribers, custom development clients, and website visitors.

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

Payments & Pricing

All prices for our custom services are quoted based on specific project requirements. Payment terms will be clearly specified in the project proposal or invoice.

Payment Schedule: For custom projects, we typically require 50% advance payment before starting work, with the remaining 50% due upon project completion and client approval.

Intellectual Property

Unless otherwise agreed in writing through a separate contract:

Dhrubok IT Solution retains all intellectual property rights to the source code, designs, and assets until full payment is received.
Upon full payment, rights are transferred to the client as specified in the project agreement.
For SaaS products, clients receive a license to use the service but do not own the underlying code.

Note: We reserve the right to use non-confidential project elements in our portfolio unless explicitly agreed otherwise.

Limitation of Liability

To the maximum extent permitted by applicable law, Dhrubok IT Solution shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages

Loss of profits, data, use, goodwill, or other intangible losses

Any damages resulting from service interruption or data loss

This limitation applies whether the damages arise from contract, tort, negligence, or any other legal theory.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions.

Jurisdiction

Any disputes shall be resolved in the courts of Gopalganj, Bangladesh.

Termination
